Company Constitution
Constitution of Companies in Cape Verde

The potential foreign investor may form a company by choosing any of the legal forms provided for by law. Societies "Corporations" and "for quotas"  are the most common legal forms and there are also legal framework for cooperatives and sole proprietorships.

Corporations

The Corporations Act (SA) before starting work, they need to meet the following requirements:

  • The company must have a minimum of two (2) shareholders;
  • Capital minimum of 22,673 Euros (2,500,000 Verdean Escudos);
  • The capital must be fully subscribed;
  • 30% of the subscribed capital must be deposited in cash at a bank site. The remainder shall be in 5 years, in cash, as stipulated in the Articles of Association.


Note: A company can be Unipersonal, in this case goes under the figure of a Limited Company, Unipessoal, SA.

Limited Liability Companies

The Limited Liability Companies (Ltd) must meet the following requirements:

  • To proceed with the public act of incorporation of the company, indicating the capital, the number and value of shares;
  • The development of the share capital subscribed by each partner;
  • Capital minimum of 1814 Euros (200,000 Cape Verdean Escudos);
  • 50% of the subscribed capital must be deposited in cash at a bank site. The remainder was to be held in next 3 years, in cash, as stipulated in the Articles of Association.



It is required for the exercise, the realization of a minimum capital of 50,000 Cape Verdean escudos (45,346 Euros).

Is allowed for the establishment of branches or permanent representations to require such evidence of corporate decision that established, complete and updated text of the contract in which the entity represented and evidence of its legal existence.

Company Registration in Cape Verde

  • Request, in the Central Records, a certificate as to the desired name for the company to be incorporated, which may take about a week, confirming the admissibility of the Firm (non-existence of another firm with the same name);
  • Prepare the Statute, drafted by the founders, or the current chart formation, or a memorandum of association;
  • Prior to execution of the deed, you must submit to the notary the Account Statement or Declaration of a Bank operating in Cape Verde, confirming deposit in cash, for the administrators of the company to be established, at least 10% of the capital. For those who want to make the realization of capital by bank transfer, account of the fact that it may take up to two weeks;
  • Contact a Notary Public for the celebration of the Deed of Constitution of the Company which may occur in a period of between one to two months. Get an official recognition of the authentication document of incorporation;
  • Register at the Directorate General of Taxation (Ministry of Finance and Planning), for purposes of taxation;
  • Register with the Central Commercial, Property and Automotive;
  • Get a Certificate of Registration of the Registry;
  • Publish in the Official Gazette of the Government of Cape Verde in the arrangement of incorporation or the articles of association.


Additional procedures after the creation of company:


  • Registration in the Ministry of Taxes and Contributions by local tax office for tax purposes;
  • Start Of Activity Interim (Mod 109 with expected date of commencement of operations);
  • Start Of Activity Final (Mod. 110);
  • Licensing of Commercial Activity (click to access the document) in the Chamber of Commerce of the respective region for Importers / Exporters and the City Council for Retail);
  • Industrial Licensing (click to access the document) in the Ministry of Industry and Energy.
